1. Agreement to Terms
These Terms of Service (the “Terms”) are a binding agreement between you, whether personally or on behalf of a merchant business (“you,” “your”), and Valotrix Studio SRL (“Valotrix,” “we,” “us,” or “our”). They govern your use of the Valotrix Cart Rewards Shopify app (the “Service”). By installing or using the Service, you agree to these Terms. If you do not agree, do not install or use the Service.
2. Description of Service
The Service is a Shopify app that lets merchants run free-gift, BOGO, threshold, and tiered cart-reward promotions. It uses Shopify Functions to apply discounts, renders optional theme blocks and widgets on the storefront, and provides analytics, simulation, and administration tooling inside the Shopify admin.
We may evolve the Service over time. We will make reasonable efforts to maintain backwards compatibility and to announce significant changes through the app dashboard.
3. Account Registration
To use the Service, you must have a valid Shopify merchant account and install the Service from the Shopify App Store. You are responsible for maintaining the security of your Shopify account, your authentication credentials, and any activity that occurs under your account.
4. Subscription and Billing
- Plans and pricing. The Service is offered under several plans: Free, Growth, Pro, and Scale. Paid plan pricing is displayed on our website and in the Shopify App Store listing. All prices are in USD unless stated otherwise.
- Billing through Shopify. Paid subscriptions are billed through Shopify’s standard billing API. Charges appear on your Shopify invoice. We do not accept or store credit card numbers directly.
- Trial. Paid plans include a 7-day trial. If you do not cancel before the trial ends, the plan automatically begins to bill.
- No per-order fees. We do not charge usage fees, per-order fees, or surcharges based on order volume.
- Cancellation. You may cancel at any time by uninstalling the Service or downgrading your plan. When you cancel, billing stops going forward; already-paid fees are not refunded except as required by law.
- Price changes. We may change the pricing for future billing periods with reasonable notice through the app dashboard or email.
5. Acceptable Use
You are responsible for the campaigns you create and the promotions you run. You agree that:
- Your campaigns will comply with all applicable promotion, consumer protection, tax, and advertising laws in the jurisdictions where you sell.
- You will not use the Service to run promotions that are misleading, fraudulent, or that violate Shopify’s Acceptable Use Policy.
- You will not attempt to reverse engineer, resell, rebrand, or otherwise misappropriate the Service.
- You will not use the Service in a way that knowingly disrupts Shopify or our infrastructure.
6. Intellectual Property
Your data stays yours. You retain all rights to your store data, merchant configuration, brand assets, and customer information.
The Service stays ours. Valotrix retains all rights, title, and interest in the Service itself, including the software, design, branding, documentation, and any feedback or suggestions you voluntarily provide. We grant you a non-exclusive, non-transferable licence to use the Service in connection with your Shopify store for the duration of your active subscription.
7. Third-Party Services
The Service operates on the Shopify platform and makes use of Shopify APIs, Shopify Functions, Shopify Flow, Shopify Markets, and related Shopify infrastructure. Your use of those services is governed by Shopify’s own terms. We are not responsible for outages, limitations, or changes to those underlying platforms.
8. Termination
Either party may terminate this agreement at any time. You can terminate by uninstalling the Service; we may terminate if you materially breach these Terms or if required by Shopify or applicable law. On termination, your access to the Service ends and we handle data deletion as described in our Privacy Policy.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR PROMOTIONAL OUTCOME WILL BE ACHIEVED.
The performance examples on our website and in the app (including the Romanian DTC merchant “+165% AOV” illustration) describe a single real campaign. Your results will vary.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALOTRIX’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS CAPPED AT THE AMOUNT YOU PAID TO VALOTRIX UNDER THESE TERMS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA.
11. Governing Law
These Terms are governed by the laws of Romania, without regard to its conflict of laws principles. The courts of Romania will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that we may seek injunctive relief in any jurisdiction where our rights may be infringed.
12. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where practical, notify merchants via the app dashboard or email. Continuing to use the Service after the change means you accept the updated Terms.
